Question Can my company raise private equity capital while planning an IPO?

Question Yes, but you must handle the private financing carefully. If you sign a final agreement with private investors before you file a registration statement for your IPO (Initial Public Offering) and otherwise meet the SEC's private placement requirements, your private equity deal should not interfere with your IPO registration process. After your initial IPO filing, the rules get more stringent, and you can only raise private capital from certain qualified institutional investors and a limited number of other investors.
