Question My company is private, and an IPO is currently unlikely. Should I consider going public by merging with a public shell corporation?

Question Generally, no. Only in rare instances where a private company (i) is prepared for the burdens of public disclosure and scrutiny, (ii) has sufficient access to capital aside from the public markets, (iii) has the management experience to garner support from the Wall Street community without a more traditional initial public offering and (iv) has no other alternative to creating a more liquid market for its securities, should a private company consider a merger such as this.
